Opportunities and strategies of offshore debt funds
 

ANREV is pleased to invite you to a series of briefings in Shanghai and Beijing on 10 October and 12 October respectively.

In recent years, private equity fund managers and sponsors have raised record amounts of capital for cross border investment opportunities which included traditional equity investments as well as investments in debt. Investments in debt can offer attractive risk adjusted returns that approach equity investment yields, however successful implementation of a debt investment strategy requires a keen understanding of the unique features of debt as an asset class. Mr Joel Rothstein and Ms Joy Lam of Sidley Austin will provide an overview of typical offshore fund structures used for cross border investments and common structuring issues then turn to consider in particular the key tools, techniques and strategies in structuring and managing a successful debt investment platform, with an emphasis on strategies and issues relating to mezzanine debt.

The briefings will be followed by networking drinks.

Mr Rothstein leads the firm’s cross-border international real estate practice. Based in the firm’s Hong Kong and U.S. offices, his broad based practice focuses on real estate, banking, structured finance and international cross-border transactions. He actively counsels private equity funds, investment banks, financial institutions, sovereign wealth funds and real estate developers and investors in the United States, Europe, China, Japan and other Asian markets in areas ranging from structuring cross border multi-jurisdictional real estate joint ventures, to forming and managing fund vehicles, to advising on senior and mezzanine debt transactions and secondary trading of loan assets.

With over 20 years’ experience in Asia, Joel has participated in structuring, documenting and implementing a number of landmark transactions and investment programs, including the first non-performing loan securitization transactions completed in Japan and Korea, pioneering RMB and USD parallel private equity funds targeting cross-border outbound investment from China, as well as innovative conduit lending and non-recourse real estate financing programs in several Asian markets.

Joel frequently lectures and authors on real estate and urban design and development. He has been a guest lecturer at Harvard University, Georgetown University, Peking University and Tsinghua University. In addition to practicing law, he is also an urban designer and a graduate of Columbia University’s Graduate School of Architecture. He has worked on numerous architecture and urban design projects around the world, including in South America, Asia and the United States.

Ms Lam’s practice focuses primarily on investment funds and covers a wide range of investment fund formation transactions, with a particular focus on advising sponsors of real estate funds, private equity funds, infrastructure funds and crossover hybrid funds. Joy’s real estate fund formation experience has included a complex first-of-its-kind offshore fund utilizing onshore feeder structures, single asset and development site funds, debt funds and blind pool funds.

Joy also has significant experience in public and private mergers and acquisitions as well as corporate finance transactions. In addition to acting on fund formation matters, Joy also regularly advises clients in connection with joint venture and seeding arrangements, management and shareholding arrangements, downstream acquisitions and disposals, secondary transactions, co-investments and other corporate matters.

Joy graduated from Macquarie University with a combined BA/LLB degree (with honours). Prior to moving to Hong Kong, Joy was a public mergers and acquisitions practitioner at a top tier Australian law firm.
